This End User License Agreement (“Agreement”) is a legal contract between you (“User,” “you,” or “your”) and Zencode LTD (“we,” “our,” or “us”) governing your use of any Zencive software, plugin, theme, or digital product (collectively, “Software”) made available via our website or authorized marketplaces.
By downloading, installing, or using our Software, you agree to be bound by the terms of this Agreement.
1. License Grant
Zencive grants you a limited, non-exclusive, non-transferable license to:
- Install and use the Software on a website, server, or device as allowed by your license tier (e.g., single-site or unlimited-site use)
- Receive updates and support during your valid license period
- Use the Software in accordance with its documentation and intended purpose
2. Ownership
All rights, title, and interest in the Software (including but not limited to source code, design, and branding) remain the sole property of Zencode LTD. This Agreement does not transfer ownership or intellectual property rights to you.
3. License Restrictions
You may not:
- Reproduce, distribute, sublicense, or resell the Software without written permission
- Share your license key publicly or with others outside your organization
- Reverse engineer, decompile, or modify the Software
- Use the Software for illegal or harmful purposes
- Circumvent license validation or remove license protection code
Violation of these terms may result in immediate termination of your license and legal action.
4. License Activation & Validation
Some products require online license activation. Your license key is:
- Unique to your purchase
- Required to receive updates and support
- Checked periodically to validate usage
Attempts to bypass license checks may result in deactivation.
5. Updates & Support
With a valid license, you are entitled to:
- Regular product updates
- Access to technical support via email or our customer support system
- Bug fixes and security patches
Support is provided only to valid license holders and within the scope of product functionality.
6. Refund Policy
Refunds are subject to our Refund Policy and are only granted under specific conditions (e.g., technical issues we cannot resolve). Refunds are not guaranteed for reasons such as change of mind or incorrect purchase.
7. Termination
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically if:
- You violate any license terms
- Your license key is revoked or expires
- Zencive discontinues the Software or your access for policy violations
Upon termination, you must delete all copies of the Software.
8. Warranties & Liability Disclaimer
The Software is provided “as-is” without warranties of any kind. We do not guarantee that it will be error-free, uninterrupted, or compatible with all systems or environments.
To the maximum extent permitted by UK law, Zencode LTD is not liable for:
- Loss of revenue or data
- Website downtime or plugin conflicts
- Security breaches due to improper use or configuration
9. Governing Law
This Agreement is governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
