These Terms of Service (“Agreement”, “Terms”) govern your access to and use of Zencive’s web-based platforms, SaaS tools, and related services (“Services”). By registering for, accessing, or using any of Zencive’s Services, you agree to be bound by these Terms.

1. Definitions

  • “We”, “Us”, “Zencive” refers to Zencode LTD, based in the United Kingdom.
  • “You”, “User”, “Customer” refers to the individual or entity accessing the Services.
  • “Service(s)” refers to Zencive’s hosted applications, cloud-based tools, and online platforms.
  • “Content” refers to data, files, or input submitted by you into the Service.

2. Account Registration

To access most features of our SaaS platforms, you must create an account.

By creating an account, you agree to:

  • Provide accurate and current information
  • Maintain the security of your credentials
  • Accept responsibility for all activity under your account
  • Notify us of any unauthorized access or security concerns

We reserve the right to suspend or terminate any account suspected of breach or misuse.

3. Subscription & Billing

Zencive offers both free-tier and paid subscription plans.

  • Free Plan: May include limited access and features.
  • Paid Plans: Include extended features, support, or API usage.

Billing Terms:

  • Subscription fees are billed in advance on a monthly or annual basis.
  • All fees are non-refundable unless stated in our Refund Policy.
  • Upgrades, downgrades, and cancellations can be managed through your account dashboard.
  • Downgrading your plan may result in feature loss or data limitations.

4. Fair Use & Acceptable Behavior

You agree not to:

  • Use the service for any unlawful or harmful activity
  • Attempt to gain unauthorized access to other users’ data
  • Overuse shared resources or abuse free-tier limits
  • Deploy automated tools (bots/scripts) without authorization
  • Reverse-engineer or tamper with the platform

We may throttle, restrict, or suspend accounts that violate fair use expectations, especially on free or trial plans.

5. Data Ownership & Privacy

  • Your Content: You retain all rights to the data you input, upload, or process through the Service.
  • Data Storage: We securely store your data in accordance with our Priv/acy Policy.
  • Data Use: We do not sell your data. We may process it internally for service delivery, analytics, and support.

You are responsible for ensuring your content does not violate copyright or data protection laws.

6. Availability & Maintenance

We strive to maintain 99.9% uptime for all SaaS services.

  • Scheduled maintenance will be announced in advance
  • Unexpected downtime (e.g. system updates or third-party issues) may occur
  • We are not liable for temporary unavailability

We may update, improve, or modify the platform features without prior notice.

7. API Access

If your plan includes API access:

  • Use must follow any published API usage limits or rate-limiting policies
  • Do not share API keys publicly or use them for unauthorized applications
  • We reserve the right to disable or modify API endpoints without notice

8. Termination & Cancellation

You may cancel your subscription at any time via your account dashboard.

We reserve the right to:

  • Suspend or terminate accounts for violations of these Terms
  • Delete content associated with canceled or suspended accounts (after notice)
  • Refuse service at our discretion

No refunds will be issued for remaining billing cycles unless specified in our refund policy.

9. Disclaimer of Warranties

Our Services are provided “as-is” and “as available”, without warranties of any kind.

We do not warrant that:

  • The Service will be error-free, uninterrupted, or 100% secure
  • Your use of the Service will meet your expectations or objectives

You assume full responsibility for backing up your data and using the platform appropriately.

10. Limitation of Liability

To the fullest extent permitted by UK law, Zencode LTD shall not be liable for:

  • Loss of data, profits, or business opportunities
  • Service interruptions or performance degradation
  • Issues caused by third-party software or hosting providers

In any event, Zencive’s total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

11. Governing Law

These Terms are governed by the laws of England and Wales.

Any disputes arising from this Agreement shall be resolved exclusively in the courts of the United Kingdom.
